Welcome to IZI Pay. By using our services, you agree to comply with these Terms & Conditions. Please read them carefully before proceeding.

1. Introduction

Welcome to our platform. These Terms & Conditions ("Terms") govern the access and use of our services. By using our platform, you agree to comply with these Terms. Our platform facilitates the issuance of cards that automatically convert cryptocurrency into cash, with conversion and card usage services provided by a third party (“Service Provider”). We act solely as an intermediary and assume no responsibility for third-party services, and you are assumed to trust our partners. By using our platform, you acknowledge and agree to these Terms & Conditions. If you do not agree, please refrain from using our services.

2. Definitions

“App” refers to the application, which is a virtual infrastructure that enables you to access our Service.

“Card” is a physical or virtual prepaid card, issued by our Service Provider, enabling clients to conduct transactions and manage their balance.

"Company", "we", "us", or "our" refers to our entity – IZIPAY Limited, registered in Hong Kong, which operates the platform and provides access to the service.

“Force Majeure": Unforeseen circumstances beyond our reasonable control that prevent us from fulfilling contractual obligations, including but not limited to natural disasters, war, cyber-attacks, and regulatory restrictions.

"Website" refers to our online platform accessible at izipay.me, through which the Service is available.

"Service" refers to the issuance (by the Service Provider) and management of cards that can be used to pay for online services and goods, with automatic cryptocurrency-to-cash conversion at the moment of top-up. It includes access to your account, through which you are able to view your transactions, request top-up of the Card, block the card or delete your account.

“Service Provider” refers to our partner that enables the issuance of the Cards and provides infrastructure, so that we are able to provide you with our Service.

"Third-party service providers" or "third parties" refer to banks and financial institutions that enable the conversion and card usage functionalities.

"User", "you", or "your" refers to any individual accessing or using the service.

"Support Contact" refers to our customer support, which can be reached at support@izipay.me.

3. Usage Restrictions

Our services are intended for individual consumers only.

Users from jurisdictions subject to U.S. sanctions or embargoes, as defined by the Office of Foreign Assets Control (OFAC) of the U.S. Department of the Treasury, are prohibited from using our services. The current list of sanctioned countries can be found at OFAC’s website.

Our services are intended for users outside the European Union, United Kingdom, and United States. While we do not knowingly offer services to residents of these jurisdictions, users are responsible for ensuring that their use of our services complies with applicable local laws.

Users must be at least 18 years old to access and use our platform. This restriction is based on legal contracting capacity rather than AML regulations.

4. Intellectual Property Rights

We operate under an "All rights reserved" policy, meaning all content and intellectual property rights related to our platform remain our exclusive property unless explicitly stated otherwise.

5. Account Registration & Compliance

Registration is required to use our services. Users must provide accurate and complete information, otherwise complications may arise that will impede the provision of our Service to you.

Users must comply with Know Your Customtoer (KYC) and Anti-Money Laundering (AML) regulations under the Financial Action Task Force (FATF) guidelines.

Users must provide personal data to access KYC-compliant virtual cards, in accordance with the General Data Protection Regulation (GDPR) (Regulation (EU) 2016/679).

6. Consumer Rights

The right of withdrawal and right to cancel, as outlined in Directive 2011/83/EU and UK Consumer Contracts Regulations 2013, do not apply to our services.

After-sales assistance is available via live chat and email support.

Dispute resolution: We encourage amicable resolution and offer Online Dispute Resolution (ODR) for EU consumers in compliance with Regulation (EU) No 524/2013.

7. Common Provisions

Our Privacy Policy governs the collection and use of personal data.

Planned service interruptions will be notified at least 2 days in advance. We hold limited liability for unexpected service interruptions caused by third parties.

Governing law: These Terms are governed by the laws of Hong Kong, with exceptions for consumer rights under EU and UK laws.

Venue of jurisdiction: Legal disputes will be handled in the courts where we are based, meaning Hong Kong.

Users will be notified via email before any changes to these Terms take effect.

8. Acceptable Use Policy

Cards issued through our platform may not be used for purchasing cash-related products, illegal gambling products or services, pornographic content and any other forms of illegal products or services.

You are strictly prohibited to use our product to support or engage in any way in fraud, money-laundering, or terrorist activities, or any other illegal activities.

Users bear full liability for all other types of card usage.

It is strictly prohibited to use or attempt to use another user's account without authorization.

Users must adhere to applicable financial regulations and AML compliance requirements while using our Cards.

Website scraping and unauthorized data extraction are strictly prohibited.

You guarantee that you will not introduce to the Service any malware, virus, trojan worms, logic bombs, or other harmful material in any shape or form.

9. Use of Non-KYC Cards

Users opting for non-KYC cards acknowledge and accept that usage restrictions may apply, and certain services may be unavailable in compliance with AML regulations.

We reserve the right to impose additional compliance requirements or service limitations on non-KYC cardholders.

10. Disclaimers & Liability Limitations

Our Service is provided to you on “as is” basis, and any malfunctioning, errors, incorrect translation and other percieved inconsistencies are to be always expected by you. This means that you should take into account such occurences and take actions that will prevent you from potential losses or other form of unwanted consequences, as any such losses will not be compensated by us. When you see such inconsistencies, please let us know via email.

Users agree to indemnify and hold us harmless against liabilities arising from unauthorized or illegal use of the platform. Any transactions and action performed from your account are assumed to be controlled by you. If any party obtains access to your account and performs unauthorised actions, we will assume it was you and cannot be held liable for losses that might occur. In such cases we expect you to immediately notify us and ask to block your Card or Cards to prevent any misuse.

We are not responsible for any discrepancies or liabilities arising from third-party service agreements. Since we do not store or manage your funds deposited onto the Card, the losses you suffer in case of misconduct of the Service Provider that we could not reasonably forsee will not be covered by us.

In case of Force Majeure, as regarded by us, we will strive for resolution of any problems as soon as we are able to, but any losses that you suffer in that period will not be compensated.

11. Termination Clause

We are free to terminate the provision of our Service to you at any moment of time without explanation. However, we will exert our best effort to do so only if you breached any of the Terms herein, or to protect us or you from any misuse. Where applicable, we may provide you with detailed explanation of the Service termination via email.

If the cause of termination was breach of Terms by you, then we will suspend your use of our Service for a lifetime, and your balance may not be returned if you are non-KYC user.

12. Losses coverage

Once you, as a customer, cause us any losses due to the breach of contract, all such losses are covered by you, limited to the amount we effectively spend to cover these losses.

13. Fees and Charges

Our fees and charges are outlined in the Pricing section on the Website, and you will be charged for using our Service according to this section, as well as any other indications throughout our Website and App.

14. Exclusivity

These Terms apply only to relations between you, as an individual, and us, and are not transferable to any third party.

15. Agreement Enforcement

The Terms outlined are enforcable at our discretion and are not time-sensitive. This means there is no expiration of any potential liability or violation that occurs from your side. Failure of us to take certain actions on time does not mean that it will not be done at some point.
